1.Scope
These terms govern the use of the Disty marketplace by a registered business buyer. They apply alongside any signed supply or credit agreement; where a signed agreement differs, the signed agreement prevails.
2.Accounts
Accounts are opened for registered Saudi businesses on a valid commercial registration. The account owner is responsible for who they invite and for what those members commit on the account's behalf.
3.Orders
An order placed on the platform is an offer to buy. It becomes binding when the vendor confirms it. Until confirmation, quantities may be changed or the order cancelled without charge.
4.Prices and VAT
Prices are quoted in Saudi Riyal, exclusive of VAT unless stated, and 15% VAT is added at checkout. A price holds for the period shown on the product or quotation; outside it, the price is re-quoted.
5.Payment and credit
Payment is due on the terms attached to the account — outright, or within the credit period granted. Late settlement suspends further purchasing on terms until the balance clears.
6.Delivery and risk
Delivery windows are estimates given per vendor and per city. Risk passes to the buyer on handover at the delivery address; a signature or serial capture at handover is evidence of that.
7.Returns
Unopened stock in original packaging may be returned within seven days of delivery. Damage on arrival is reported within 48 hours with photographs, and is replaced or refunded without a return fee.
8.Requests and quotations
A request for quotation is not an order. A quotation is an offer from the vendor on the terms it states, and it lapses at its stated validity. Accepting a quotation creates an order on exactly those terms.
9.Vendors
Disty operates the marketplace; the contract of sale for each line is between the buyer and the vendor fulfilling it. Disty verifies vendors, handles payment and mediates disputes, and is not the manufacturer or the warrantor.
10.Liability
Nothing here limits liability for fraud or for anything that cannot lawfully be limited. Otherwise Disty's liability for any order is limited to the amount paid for that order.
11.Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and disputes fall to the competent courts in Riyadh.
12.Changes
Terms may change. Material changes are notified to the account's registered email at least 14 days before they take effect, and continued use after that date is acceptance.
